Limited liability Company registration conditions
Moldova Limited Liability Company requires at least 1 director and 1 shareholder of any nationality for incorporation process to be complete. The most popular type of business structure in Moldova is a limited liability company (LLC). From 25 April 2014, in accordance with the amendments to the legislation, the share capital of the company is determined independently by the founders. This means that the amount of share capital can be 100 Leu (5€).
Timeline
Although the procedure for setting up a Moldovan company is simple, it involves many important steps that need to be taken before registration in the commercial register. The whole company registration process usually takes 5-7 business days. If all the required documents are ready, the registration process takes around 1 to 3 business days.
Fees
The registration cost is 544 MDL (approximately 31€). These costs include all fees for registration and concurrent services provided by the State Registration Chamber (verification of company name, drafting of standard regulations, issuance of the registration certificate and extract from the commercial register, publication in the Official Gazette). In the case of a one-day registration, the cost is MDL 965 (approximately 55€).
Compulsory regulation
When registering an LLC in Moldova the are a few legal requirements, which must be met:
- Your company must have between 1 and 30 founding shareholders;
- No legal restrictions: shareholder can be resident or foreign natural or legal person;
- Paid share capital must be at least 100 Leu (5€) worth;
- Director can be resident of any country;
- Passports and personal data of all shareholders and directors must be presented.
All shareholders and directors must be at least 18 years old and have no legal restrictions set by law or by court, not allowing taking such positions within business structures.
